Terms of Service

Last updated: October 2026

GRANT — EXECUTIVE ADVISOR AI

These terms exist to protect both of us. Read them — they are written to be understood, not to hide anything. If something is unclear, write to us.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Different View of Business LLC ("DVIEWB," "we," "us," or "our"), a Florida limited liability company, governing your access to and use of The 2nd Chance platform ("Platform") at the2ndchance.app.

By creating an account, completing the demo session, or purchasing a subscription, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

The Platform is intended for users who are 18 years of age or older. By using the Platform, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

2. The Platform and Services

The 2nd Chance is an AI-powered business advisory platform that provides structured entrepreneurial guidance through Grant, our AI advisor persona. The Platform offers onboarding interviews, business idea validation, market analysis, legal and compliance guidance, risk assessment, roadmap planning, document generation, and ongoing advisory support.

The Platform is designed to assist entrepreneurs in structuring their business thinking and planning. It does not constitute legal advice, financial advice, investment advice, or professional consulting services. Grant is an AI system — not a licensed attorney, financial advisor, or certified business consultant. We recommend consulting qualified human professionals for decisions with significant legal or financial consequences.

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time. We will provide reasonable notice of material changes that affect your subscription.

3. Accounts and Registration

You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at privacy@the2ndchance.app if you suspect unauthorized access to your account.

Each account is for a single individual user. You may not share your account credentials with others or create accounts on behalf of third parties without our written permission. We reserve the right to suspend or terminate accounts that violate this provision.

4. Subscription Plans and Credits

The Platform offers the following plans:

Blueprint is a one-time payment of $99 that includes one complete project credit with lifetime access — no expiry date. The Blueprint plan does not renew and does not include add-on credit purchases. To start a new project, the user must upgrade to Starter or Builder.

Starter is available as a monthly subscription at $79 per month or an annual subscription at $699 per year. The Starter plan includes one project credit per billing period. Additional project credits may be purchased at $49 each.

Builder is available as a monthly subscription at $149 per month or an annual subscription at $1,299 per year. The Builder monthly plan includes two project credits per billing period. The Builder annual plan includes three project credits per year. Additional project credits may be purchased at $49 each. Builder subscribers receive advanced advisory depth, sector-specific legal analysis, financial modeling, investor-ready document formatting, unlimited document revisions, an annual strategy review with Grant, and priority incubation review queue.

If Grant's final verdict on a project is "stop", the user may request one additional project credit to evaluate a different idea. Each account may make one such request, which is reviewed and granted or declined at our discretion. Grant's verdicts are automated assessments and not a guarantee of any business outcome.

One project credit entitles the user to one complete advisory journey — all eight modules — for a single business idea, including all associated document generation.

Project credits are non-transferable, non-refundable except as described in our Refund Policy, and expire as described in Section 6 of these Terms.

Subscription fees are billed in advance. Annual subscriptions are billed in full at the start of each annual period. Monthly subscriptions are billed at the start of each monthly period. All prices are in US dollars.

5. Demo Session

New users may access the Platform through a single demo conversation with Grant. No payment method is required to register or begin the demo session. The demo session allows users to experience Grant's advisory style and depth before choosing a plan.

During the demo session, Grant will not deliver complete advisory outputs, named business ideas, structured market data, or finalized recommendations. Full advisory access — including all eight modules, document generation, and complete outputs — requires an active paid subscription.

The demo session does not expire. Users may return to their demo session at any time. However, only one demo session is permitted per account.

Demo access may not be used to systematically extract platform content, test competitive products, or circumvent the subscription requirement. We reserve the right to terminate demo access if we determine it is being abused.

6. Project Data and Grace Period

Your project data — including onboarding profile, session conversations, analyses, and generated documents — is stored in full on our servers while your subscription is active.

Upon cancellation of a Starter or Builder subscription, or failed payment that is not resolved, a grace period of 30 days begins. During the grace period, you retain read-only access to your projects and may export your documents. You may not initiate new advisory sessions during the grace period.

At the end of the 30-day grace period, all project data associated with your account is permanently and irreversibly deleted. We are not able to recover data after deletion. It is your responsibility to export any documents or information you wish to retain before the grace period expires.

This grace period applies to Starter and Builder subscription plans only. Blueprint is a one-time purchase and is not subject to payment grace periods.

Blueprint plan access does not expire. The project remains accessible as long as the account is active.

We will send email reminders at day 25 and day 29 of the grace period to the email address on file.

7. Intellectual Property

The Platform, including its design, architecture, AI systems, prompts, and brand identity, is owned by Different View of Business LLC and protected by applicable intellectual property laws.

The content you generate through your use of the Platform — including your business plans, market analyses, pitch decks, and other documents produced by Grant based on your inputs — is owned by you. You grant us a limited, non-exclusive license to store and process this content solely for the purpose of delivering the service to you.

You may not reproduce, distribute, modify, reverse engineer, or create derivative works from the Platform or its underlying systems without our prior written consent.

8. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You may not use the Platform to develop, plan, or advance any business that is illegal under applicable federal or state law, to systematically harvest or scrape platform content for competitive analysis, to circumvent subscription restrictions through technical means, to impersonate other users or submit false information, or to interfere with the security or integrity of the Platform.

We reserve the right to suspend or terminate your account without notice if we determine that your use violates these Terms or applicable law.

9. Incubation Program

The incubation program is a discretionary investment program operated by Different View of Business LLC. Identification as a potential incubation candidate by Grant's automated screening system does not constitute an offer of investment or a guarantee of review. All investment decisions are made at the sole discretion of the DVIEWB team.

If you are accepted into the incubation program, a separate investment agreement will govern the terms of that relationship. These Terms of Service do not create any investment relationship between you and DVIEWB.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. THE USER ACKNOWLEDGES THAT BUSINESS OUTCOMES DEPEND ENTIRELY ON THE USER'S OWN EXECUTION, MARKET CONDITIONS, COMPETITIVE DYNAMICS, AVAILABLE CAPITAL, AND OTHER FACTORS ENTIRELY OUTSIDE THE PLATFORM'S CONTROL. THE USER ASSUMES FULL AND SOLE RESPONSIBILITY FOR ANY BUSINESS DECISIONS MADE BASED ON PLATFORM OUTPUTS. 11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DIFFERENT VIEW OF BUSINESS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property violations.

You waive any right to participate in a class action lawsuit or class-wide arbitration against DVIEWB.

13. Changes to Terms

We may update these Terms at any time. We will notify you of material changes by email at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must cancel your subscription before the effective date.
